These terms are published in English and Spanish. In case of any discrepancy, the English version governs.
Accepting these terms
These terms govern your use of GalileiPay, a product of Galilei Technologies LLC. By creating an account you accept them. They cover the platform itself. Any purchase of a receivable is governed by the separate agreement you sign for that transaction, which prevails over these terms on anything it addresses.
Who can use GalileiPay
GalileiPay is for businesses in commercial construction operating in Texas and Florida. You must be at least 18 and authorized to act for the company you register. It is not for personal, family or household use.
We are not a lender
When we advance funds against an invoice, we are buying a receivable from you outright. It is a purchase, not a loan: selling it to us does not, by itself, create debt in your name. The purchase agreement does require you to repurchase a receivable if one of the limited events it defines occurs — fraud or bad-faith non-performance, for example — which is different from your GC simply failing to pay. In the Early Pay Program, the money comes from your general contractor, not from us: they pay an approved pay-app early in exchange for a discount. We operate the platform and charge a fee for it. We do not offer credit, and nothing on this platform is an offer of credit.
Your account
Keep your credentials to yourself and tell us at support@galileipay.com if you think someone else has access. You are responsible for what happens under your account. The information you give us must be accurate, and you must keep it up to date.
Acceptable use
Do not upload documents you are not entitled to share, misrepresent invoices or the work behind them, attempt to access other users' data, or interfere with the service. We may suspend an account we reasonably believe is being used fraudulently.
Third-party services
Payments, identity verification and some document processing are performed by third parties described in our Privacy Policy. Their own terms apply to the part they perform.
Availability and changes
We work to keep the platform available, but we do not guarantee uninterrupted service, and we may change or discontinue features. If we change these terms materially, we will update the date above and tell you by email.
Disclaimers and limits
The platform is provided as is. To the extent the law allows, we disclaim implied warranties, and our liability arising from your use of the platform is limited to the fees you paid us in the twelve months before the claim. Nothing here limits liability that cannot be limited by law, and nothing here affects the allocation of risk in the transaction agreements you sign, which govern that.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules. Transaction agreements specify their own governing law and venue, and those control for the transaction.
